Terms of Service

By accessing or using any OnCourse Design website, learning portal, AI-powered tools, LMS/CRM integrations, e-learning courses, live cohorts, or related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Services.

1. Scope of Services

OnCourse Design provides custom learning and development solutions for regulated industries, including e-learning content, onboarding programs, AI adoption and workforce reskilling, strategic training planning, business intelligence and tools adoption, and custom LMS/CRM platforms. OnCourse Design may also operate branded portals, AI-powered tutors, and digital learning environments that support training, compliance, and organizational change initiatives.

2. Eligibility and Accounts

You must be at least 18 years old, or the age of majority in your jurisdiction, and authorized by your employer or organization to use the Services.

To access certain features, you may be required to create an account or use credentials provided by your organization. You are responsible for maintaining the confidentiality of your login information and for all activity under your account.

3. Use of the Services

You agree to use the Services only for lawful purposes and in accordance with applicable regulations governing your industry.

You must not:

  • Circumvent security or access controls.
  • Upload, store, or transmit malicious code or unauthorized personal data.
  • Misuse AI tools to generate harmful, misleading, discriminatory, or non-compliant content.
  • Attempt to reverse engineer, copy, scrape, or interfere with the proper operation of the Services.

4. Intellectual Property

All course content, methodologies, designs, frameworks, documentation, and platforms provided through the Services are owned by OnCourse Design or its licensors, unless otherwise stated in a written agreement.

A limited, non-exclusive, non-transferable license is granted to access and use the Services solely for internal training, compliance, and workforce development purposes, as agreed with the client organization. Any reproduction, redistribution, modification, or public display outside that scope is prohibited without prior written consent.

5. Client Content

If a client or its users provide policies, procedures, training materials, product information, media assets, or other content ("Client Content") for use in custom programs or platforms, ownership of that content remains with the client.

The client grants OnCourse Design a non-exclusive right to use, host, adapt, and incorporate Client Content as necessary to deliver the agreed Services. The client represents that it has the rights and permissions needed to provide such content.

6. AI-Powered Features

Certain Services may include AI-powered tutors, assistants, recommendations, automations, or content generation features. These tools are designed to support learning, performance, and operational efficiency.

Users must not submit highly sensitive personal information into AI-enabled fields unless explicitly authorized under a written agreement and supported by compliant infrastructure. AI-generated outputs are provided for support purposes and should be reviewed by the client before being treated as operational, legal, regulatory, or instructional authority.

7. Data Protection and Privacy

The use of personal data is governed by the Privacy Policy and by any applicable data processing agreement or service agreement between OnCourse Design and the client organization. Each client remains responsible for ensuring that its use of the Services complies with all applicable privacy, education, employment, and sector-specific regulations.

8. Availability and Support

OnCourse Design uses commercially reasonable efforts to maintain the availability and reliability of the Services. However, uninterrupted or error-free operation is not guaranteed. Planned maintenance, updates, third-party outages, or circumstances beyond reasonable control may affect access from time to time.

9. Disclaimers

The Services are provided on an "as is" and "as available" basis to the maximum extent permitted by law. No guarantee is made that use of the Services will, by itself, ensure legal compliance, certification, business performance, or specific learning outcomes. Organizations remain responsible for validating training content, internal policies, and compliance obligations.

10. Limitation of Liability

To the maximum extent permitted by law, OnCourse Design will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of the Services.

Any aggregate liability will be limited to the amount paid for the applicable Services during the twelve months preceding the event giving rise to the claim, unless a different limitation is set out in a written agreement.

11. Governing Law

These Terms will be governed by the law identified in the applicable client agreement. If no governing law is specified in a written agreement, the governing law will be determined by the principal place of business of the contracting OnCourse Design entity.

12. Changes to These Terms

These Terms may be updated from time to time to reflect changes in the Services, legal requirements, technology, or business operations. The updated version becomes effective when posted, unless a later effective date is stated.
